1. Engagement

By engaging The DigiSol for services including, but not limited to, Performance Marketing, Web Development, Brand Identity, or SEO, you agree to be bound by these Terms and Conditions.

2. Service Guarantee

Our “3-Month Result Guarantee” (Work for Free) applies specifically to Performance Marketing contracts where a clear, measurable KPI (Key Performance Indicator) has been agreed upon in writing at the start of the engagement.

  • If the agreed-upon KPI is not reached within 90 days of the campaign launch, The DigiSol will waive its management fees until the goal is met.
  • Ad spend paid to third-party platforms (Meta, Google, etc.) is not included in this guarantee.

3. Payment & Fees

  • Retainers: Monthly management fees are due upfront at the beginning of each billing cycle.
  • Project-Based Work: (Development or Branding) Requires a 50% upfront deposit, with the remaining balance due upon completion or as per the milestone agreement.
  • Late Payments: We reserve the right to pause all active campaigns or development work if invoices are more than 7 days overdue.

4. Intellectual Property

  • Marketing Assets: All creative assets (ad copy, graphics, video edits) created by The DigiSol become the property of the Client once full payment is received.
  • Software/Code: For custom development, the Client is granted a license to use the code for their business. Original frameworks and proprietary scripts developed by The DigiSol remain our intellectual property unless otherwise agreed in writing.

5. Client Responsibilities

The Client must provide necessary access to ad accounts, hosting, and brand assets in a timely manner. Delays in providing access may result in a shift in project timelines or guarantee windows.

6. Limitation of Liability

The DigiSol is not liable for any loss of revenue or data resulting from platform-side changes (e.g., Meta/Google algorithm updates or account bans) that are outside of our direct control.

7. Termination

Either party may terminate the agreement with 30 days’ written notice. Upon termination, the Client is responsible for all fees incurred up to the end of the notice period.
